These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "Customer") and Polly AI LLC ("Polly AI", "we", "us"). By accessing or using our websites, APIs, software, services, and other offerings (collectively, the "Services"), you agree to these Terms. If you do not agree, do not use the Services.
You represent and warrant that you are at least 18 years old and have legal capacity to enter into contracts. To access certain features you must register and provide accurate Registration Data. You are responsible for activity under your account and for keeping credentials secure. We may decline registration at our discretion.
We may modify, suspend, or discontinue any part of the Services (including features or pricing) at any time. We may revise these Terms from time to time; changes are effective upon posting. Continued use constitutes acceptance of updated Terms.
Subject to compliance with these Terms, we grant a limited, non-exclusive, non-transferable license to access and use the Services for internal business purposes. All rights to the Services, software, content, models, APIs, and related intellectual property remain our property.
You shall not (and shall not permit others to): use the Services unlawfully; reverse engineer or attempt to derive source code; scrape or harvest data except via provided APIs; interfere with security; transmit malicious code; or remove proprietary notices. Violations may lead to suspension or termination.
You agree to pay applicable fees as set forth in your subscription, order form, or agreement. Billing intervals may vary. Payments are in U.S. dollars unless agreed otherwise. Late or unpaid balances may result in suspension. Unless expressly stated, fees are non-refundable.
These Terms remain in force while you use the Services. Either party may terminate per the agreement. We may suspend or terminate access for breaches or at our discretion. Termination does not relieve outstanding obligations, including payment and indemnities.
You retain ownership of data and content you submit ("Customer Content"). You grant us a license to use, process, store, and display Customer Content as necessary to provide the Services. We may use anonymized or aggregated data for analytics. Our Privacy Policy governs personal data processing.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION. SOFTWARE AND MODELS MAY CONTAIN INACCURACIES. YOU ARE SOLELY RESPONSIBLE FOR DECISIONS MADE BASED ON THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL POLLY AI OR ITS AFFILIATES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY IS LIMITED TO THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, EXCEPT WHERE PROHIBITED BY LAW.
You agree to indemnify and hold harmless Polly AI, its officers, agents, employees, and affiliates from any claims, liabilities, losses, and expenses arising from your breach of these Terms, misuse of the Services, or violation of applicable law.
These Terms shall be governed by the laws of the State of Missouri without regard to conflict of law rules. Parties shall attempt good-faith negotiation for 30 days before initiating arbitration or litigation. Disputes may be resolved by binding arbitration in Jackson County, Missouri, subject to exceptions for injunctive or equitable relief.
These Terms, together with any order forms, policies, or exhibits, constitute the entire agreement. We may assign our rights; you may not assign without our consent.
